2. Definitions

Client: Refers to any individual or entity using our services.

Services: Development, Mobile Application Development, and IT Infrastructure Setup and Maintenance provided by TransOceanic.Tech.

3. Service Agreement

By engaging with TransOceanic.Tech for any of our services, the client agrees to the following terms and conditions.

4. Customized Software Development

Scope of Work: TransOceanic.Tech will provide customized software solutions as per the requirements agreed upon with the client.

Changes to Scope: Any changes to the scope of work must be documented and may result in additional charges.

Delivery: TransOceanic.Tech will deliver the software within the agreed timeline, subject to any changes requested by the client.

5. Web and Mobile Application Development

Project Specifications: Detailed specifications for web and mobile applications will be agreed upon before commencement.

Development Process: The development process includes planning, design, development, testing, and deployment.

Client Responsibilities: The client must provide necessary resources, information, and feedback promptly.

6. IT Infrastructure Setup and Maintenance

Setup Services: TransOceanic.Tech will provide IT infrastructure setup services as per the agreed specifications.

Maintenance Services: Ongoing maintenance services will be provided to ensure the smooth operation of the client’s IT infrastructure.

Client Cooperation: The client must grant necessary access to their premises and systems for setup and maintenance activities.

7. Payment Terms

Fees: The client agrees to pay the fees for the services as outlined in the agreement.

Payment Schedule: Payments shall be made according to the schedule outlined in the agreement.

Late Payments: Late payments may incur additional charges.

8. Confidentiality

Confidential Information: Both parties agree to keep all confidential information disclosed during the course of the engagement confidential.

Non-Disclosure: The parties agree not to disclose any confidential information to any third party without prior written consent.

9. Intellectual Property

Ownership: The client retains ownership of all intellectual property rights in the materials provided for the services. TransOceanic.Tech retains ownership of all intellectual property rights in the deliverables until payment is received in full.

Licensing: Upon full payment, TransOceanic.Tech grants the client a non-exclusive, non-transferable license to use the deliverables for their intended purpose.

10. Termination

Termination for Cause: Either party may terminate the agreement for cause upon written notice if the other party breaches any material term of the agreement and fails to cure such breach within a specified period.

Termination for Convenience: The client may terminate the agreement for convenience upon providing written notice. The client shall be liable for all services rendered up to the termination date.

11. Limitation of Liability

No Liability for Consequential Damages: TransOceanic.Tech shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the services.

Cap on Liability: The total liability of TransOceanic.Tech for any claims arising under the agreement shall not exceed the total fees paid by the client.

12. Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of India.

13. Amendments

TransOceanic.Tech reserves the right to amend these terms and conditions at any time. Any amendments shall be effective upon posting on our website or upon written notice to the client.
